Terms of Service

1. Parties and services

These terms govern services provided by Thierry Pulquerie, trading as DevSource, 513 Chemin de Moutha, 40330 Amou, France (“we”, “us”) to the client commissioning the work (“you”). We provide custom software development services, including Windows desktop application development, business applications, automation tools, API and third-party integrations, improvements to existing applications, and software maintenance and support. We do not sell physical goods or off-the-shelf products.

2. Project scope

Each project is defined by a written scope: the features to be built, the technology, the deliverables, the milestones and the price. Anything not stated in the agreed scope is outside it. Where the scope is ambiguous, we confirm the intended behaviour with you in writing before building it.

3. Quotes and invoices

Quotes are based on the information available when they are issued and remain valid for 30 days unless stated otherwise. Work begins once you accept the quote in writing and any agreed initial payment has been received. Invoices are issued through Stripe; see Secure Payment.

4. Payment terms

Payment terms are set out on each invoice. Larger projects are normally split into milestones, with an invoice issued per milestone. Work on a subsequent milestone may be paused until the preceding invoice is settled.

All prices are exclusive of any applicable taxes unless stated. Payment-processing fees charged by Stripe are borne by us; bank charges applied by your own bank are yours.

5. Timelines

Delivery dates are estimates made in good faith on the basis of the agreed scope. They assume timely provision of information, access and feedback from you. Causes of delay and how we handle them are described in the Delivery Policy.

6. Your responsibilities

• Provide accurate requirements, and the sample data, accounts, credentials or system access the work needs.
• Review deliverables and give feedback within the agreed review period.
• Hold the rights or licences needed for any material, data or third-party service you ask us to use.
• Ensure your intended use of the software complies with applicable law and with the terms of any third-party platform involved.

7. Changes to requirements

You may request changes at any time. We assess the effect on cost and timeline and confirm it in writing; work on the change starts once you approve. Substantial changes may be quoted as a separate phase. Requests that fall outside the agreed scope are new work, not defects.

8. Intellectual property

On receipt of full payment, ownership of the custom source code written specifically for your project transfers to you, together with the delivered application and installer.

We retain ownership of our own pre-existing tools, libraries, components and general know-how used in the build, and grant you a perpetual, non-exclusive licence to use them as incorporated in your software. Third-party and open-source components remain subject to their own licences, which we identify on request. Material you supply remains yours.

9. Delivery, testing and acceptance

Work is delivered as described in the Delivery Policy. After delivery of the project or a milestone you have an agreed acceptance period — 14 days unless stated otherwise — to test it against the agreed scope and report defects. If no defects are reported within that period, the deliverable is treated as accepted.

10. Defects and corrections

Defects reported during the acceptance period — where the software does not behave as the agreed scope says it should — are corrected at no additional cost within a reasonable time. Beyond that period, corrections and changes are handled under a support arrangement or quoted as new work.

11. Third-party services

Where your software depends on third-party services, APIs or platforms, those services are outside our control. We are not responsible for their availability, pricing changes, policy changes, deprecations or restrictions, or for costs charged by them. Adapting your software to such a change is new work unless a support agreement covers it.

12. Confidentiality

Each party keeps the other's non-public information confidential and uses it only for the purpose of the project. We will not disclose your business information, data or credentials to third parties except where needed to deliver the work or where required by law. This obligation continues after the project ends. We do not publish your project as a case study without your written consent.

13. Warranties and limitation of liability

We provide our services with reasonable skill and care. Beyond the correction obligation in section 10, software is provided without any further warranty that it will be uninterrupted or entirely free of errors.

To the extent permitted by law, our total liability arising out of a project is limited to the fees you paid for that project, and we are not liable for indirect or consequential loss, loss of profit, loss of business or loss of data. You are responsible for maintaining backups of your own data. Nothing here excludes liability that cannot lawfully be excluded.

14. Termination

Either party may terminate a project by written notice. The financial consequences are set out in the Cancellation & Refund Policy. We may suspend or terminate work where an invoice remains unpaid after written reminder, or where continuing would require us to act unlawfully.

15. Disputes and governing law

If a dispute arises, contact us first at contact@devsource.site; we will try to resolve it directly and in good faith.

These terms are governed by French law, and the competent French courts have jurisdiction. If you are a consumer, this does not deprive you of the protection of the mandatory law of your country of residence.

16. Changes to these terms

We may update these terms. The version in force when your project was commissioned is the version that applies to it.
